1. Agreement
By using cn2.ai ("the platform", "we", "us"), you agree to these terms. If you are using cn2.ai on behalf of an organization, you represent that you have authority to bind that organization to these terms.
cn2.ai operates as a marketplace connecting API key sellers with buyers. We provide the routing infrastructure, payment processing, and discovery layer. We are not a party to the underlying API provider agreements between sellers and their upstream providers.
2. Definitions
- Seller — a registered user who lists API keys on the platform
- Buyer — any person, agent, or system that sends requests through cn2.ai proxy endpoints
- Key listing — an API key submitted by a seller with associated configuration (pricing, limits, routes, region)
- MPP — the Machine Payments Protocol, the payment mechanism used for buyer transactions
- Proxy endpoint — a subdomain of cn2.ai (e.g. openai.cn2.ai) that routes requests to upstream providers through seller keys
- Platform fee — the percentage deducted from each transaction (10% free plan, 5% pro plan)
3. Seller obligations
Key ownership
You must own or have lawful authorization to use any API key you list on cn2.ai. Listing stolen, shared without permission, or fraudulently obtained keys is prohibited and grounds for immediate account termination.
Upstream terms compliance
You are responsible for ensuring that reselling or sharing access to your API key does not violate the terms of service of the upstream API provider. cn2.ai does not evaluate whether a specific provider's terms permit key sharing. This responsibility rests entirely with you.
Accurate configuration
You must set rate limits at or below the actual limits on your upstream key. Misconfiguring limits in a way that causes upstream errors degrades your priority score and may result in your key being removed from the pool.
Region tagging
If you tag a key as EU, you represent that the key's data processing occurs within the European Union. Incorrect region tagging may expose buyers to GDPR non-compliance and is grounds for key removal.
Key security
While cn2.ai encrypts your key at rest (AES-256-GCM), you should treat your upstream API key as compromised if you believe your cn2.ai account has been accessed without authorization. Revoke the upstream key immediately and rotate via the dashboard.
4. Buyer obligations
Acceptable use
You may use cn2.ai proxy endpoints for any lawful purpose that is consistent with the upstream provider's acceptable use policy. You must not use cn2.ai to:
- Generate illegal content or facilitate illegal activities
- Attempt to extract, reverse-engineer, or identify seller API keys
- Circumvent rate limits, spend caps, or payment requirements
- Submit fraudulent disputes to obtain unearned credits
- Perform denial-of-service attacks against cn2.ai or upstream providers
Payment
All requests through cn2.ai proxy endpoints require payment via MPP. By submitting a payment credential, you authorize the charge for that specific request. Payments are non-refundable except through the dispute process described in section 7.
5. Pricing and fees
Buyer pricing
Request prices are determined by seller floor prices and the platform's dynamic pricing engine. The exact price for each request is disclosed in the MPP 402 challenge before you pay. You are never charged without first seeing the price.
Seller earnings
Sellers earn the buyer-paid price minus the platform fee:
- Free plan: 10% platform fee
- Pro plan ($29/month): 5% platform fee
Premium pool
Sellers who opt into the premium pool and maintain a priority score of 0.9 or higher earn a 25% markup on each request. The premium markup goes to the seller, not the platform.
Payouts
Seller earnings are paid out when the accumulated balance reaches $25. Payouts are processed via the seller's chosen method (Stripe ACH, USDC, Lightning, or bank wire), subject to KYC verification requirements.
6. Key health and removal
cn2.ai monitors key health through liveness checks and response classification. Keys that consistently return errors experience priority score decay and may be:
- Deprioritized in routing (lower score = less traffic)
- Demoted from the premium pool (score drops below 0.9)
- Marked as degraded (score drops below 0.3)
- Removed from the pool entirely (key revoked or budget exhausted)
Sellers are notified of health changes via dashboard alerts and configured webhooks. Sellers can pause, resume, or remove keys at any time.
7. Disputes
Buyers who believe they were incorrectly charged may submit a dispute through the buyer portal. Disputes are resolved as credits to the buyer's MPP balance — not as refunds to the original payment method.
Auto-detection
cn2.ai automatically scans for billing anomalies (misclassified responses, duplicate charges, pricing errors) and issues proactive credits when detected.
Seller clawback
If a dispute is resolved in the buyer's favor and the seller was at fault, the seller's earnings for that request may be clawed back. If the payout has already been sent, the amount is deducted from future payouts.
Abuse prevention
Dispute auto-credits are subject to limits. Buyers who repeatedly file disputes beyond normal usage patterns may have auto-credit suspended and disputes routed to manual review.
8. Data and privacy
Our privacy policy describes what data we collect and how we use it. Key points:
- API keys are encrypted with AES-256-GCM — we never store or access plaintext keys
- Request and response bodies are never logged
- Buyer identifiers are hashed — we cannot identify individual buyers
- We do not sell data, serve ads, or train AI models on your data
9. Service availability
cn2.ai is provided on an "as-is" and "as-available" basis. We make reasonable efforts to maintain high availability but do not guarantee uptime. Specifically:
- Upstream provider outages are outside our control
- If all seller keys for a provider are unavailable, requests return 503
- EU routing may result in 503 if no EU-tagged keys are available for a provider
- Scheduled maintenance will be communicated in advance where possible
10. Limitation of liability
To the maximum extent permitted by law, cn2.ai is not liable for:
- Losses arising from upstream provider errors, outages, or policy changes
- Losses arising from seller key revocation, misconfiguration, or rate limiting
- Indirect, incidental, consequential, or punitive damages
- Loss of revenue, data, or business opportunities
Our total liability for any claim is limited to the fees you paid to cn2.ai in the 12 months preceding the claim, or $100, whichever is greater.
11. Intellectual property
cn2.ai's platform, branding, and documentation are our intellectual property. Seller API keys and buyer request data remain the property of their respective owners. Upstream API responses are the intellectual property of the upstream provider and subject to their terms.
12. Account termination
We may suspend or terminate accounts that violate these terms, including but not limited to:
- Listing keys you do not own
- Fraudulent dispute submissions
- Circumventing payment or rate limiting
- Abusive behavior toward the platform or other users
Sellers may close their account at any time. Outstanding earnings above the $25 threshold will be paid out. Earnings below the threshold are forfeited 90 days after account closure.
13. Changes to these terms
We may update these terms as our platform evolves. Material changes will be communicated via email to registered sellers and posted on this page. Continued use after changes take effect constitutes acceptance.
14. Governing law
These terms are governed by the laws of the State of Delaware, United States. Disputes will be resolved through binding arbitration, except where prohibited by law.
